Terms and Conditions

Please read the following Terms and Conditions carefully before purchasing a Licence for a Midori Media Software Solution. By proceeding with a purchase you agree to be bound by these Terms and Conditions.

1  Definitions

  • Midori Media refers to Midori Media Pty Ltd, an Australian owned and operated company established in 2003.
  • Software Solution refers to any software product developed and sold by Midori Media, including myPM SCG Enterprise.
  • Licence refers to the right granted by Midori Media to use a Software Solution under the terms of the End User Licence Agreement (EULA).
  • Single User Licence allows installation on any computer you own. Only one user may use the Software Solution at any given time.
  • Multi User Licence allows installation and use on any computer you own by multiple users simultaneously.
  • Registration Details refers to the licence key and associated information required to activate and register the Software Solution.

2  Licence Terms

  • A Licence is granted to the individual or organisation named in the purchase transaction.
  • The Licence is non-transferable and may not be sold, assigned, or sublicensed to any third party.
  • Use of the Software Solution is subject to the End User Licence Agreement (EULA) presented during installation. You must accept the EULA to use the Software Solution.
  • Midori Media reserves the right to revoke a Licence in the event of a breach of these Terms and Conditions or the EULA.

3  Purchasing a Licence

  • Licences are sold exclusively through the Midori Media website at www.midorimedia.com.
  • All prices are in Australian Dollars (AUD) and include GST for Australian residents.
  • Midori Media accepts MasterCard and Visa credit cards. American Express, Diners Club, and JCB are not currently accepted.
  • Payment is processed securely by Stripe (www.stripe.com), a PCI DSS Level 1 certified payment gateway. Your credit card details are transmitted directly to Stripe and are never stored on the Midori Media server.
  • If you are paying in a currency other than AUD, your bank or credit card provider may charge a foreign currency conversion fee. Midori Media has no control over such fees.

4  Delivery

  • Midori Media Software Solutions are delivered digitally.
  • Upon approval of payment, Midori Media will send your Licence Registration Details and a Tax Invoice to the email address provided at the time of purchase.
  • You should receive the confirmation email within 30 minutes of a successful payment. If you do not, please check your Spam or Junk email folder before contacting support.
  • The Software Solution setup file may be downloaded at any time from the Midori Media website.

5  Updates and Upgrades

  • Software Solution Updates are released as required to fix known issues and may include minor improvements. Updates are provided free of charge to all Licence holders.
  • Software Solution Upgrades are new versions containing additional functionality. Upgrades are provided free of charge to all Licence holders.
  • Midori Media will notify registered users of new versions by email where the user has opted in to notifications at the time of purchase. New versions are also announced on the Midori Media website.

6  Refund Policy

  • In accordance with Australian Consumer Law, your purchase of a Midori Media Software Solution comes with guarantees that cannot be excluded. If a Software Solution has a major failure, you are entitled to a replacement or refund. If the failure is minor, Midori Media will provide a remedy within a reasonable time.
  • If you have purchased a Licence but do not agree to the End User Licence Agreement (EULA), please contact Midori Media promptly to request a refund. Refunds in this circumstance are at Midori Media’s discretion, provided the Licence has not been registered or activated.
  • If the Software Solution fails to perform as documented, please contact Midori Media by email with full details. Midori Media will, at its option:
    • replace the Software Solution with one that conforms to the documentation; or
    • correct the error through a Software Solution update; or
    • refund the Licence fee. If a refund is issued, you must delete the Software Solution and all copies from your systems.
  • Midori Media has no responsibility if the Software Solution has been altered in any way, or if the failure arises from use with an unsupported hardware or software configuration.
  • Refunds are made to the credit card used to purchase the Licence. Midori Media cannot refund to a different card or by any other method unless required by law.

7  Limitation of Liability

  • To the maximum extent permitted by law, Midori Media’s liability to you for any claim arising under or in connection with these Terms and Conditions or the use of a Software Solution is limited to the amount you paid for the applicable Licence.
  • Midori Media is not liable for any indirect, incidental, special, or consequential loss or damage arising from the use or inability to use a Software Solution, regardless of whether Midori Media has been advised of the possibility of such loss.
  • Nothing in these Terms and Conditions is intended to exclude, restrict, or modify any rights you may have under the Australian Consumer Law that cannot lawfully be excluded, restricted, or modified.

8  Privacy

  • Midori Media collects and uses the minimal amount of personal information required in accordance with our Privacy Policy.

9  Governing Law

  • These Terms and Conditions are governed by the laws of Australia. Any disputes arising under these Terms and Conditions will be subject to the exclusive jurisdiction of the courts of Australia.

10  Amendments

  • Midori Media may update these Terms and Conditions from time to time. The current version will always be available on the Midori Media website. Continued use of a purchased Licence after any amendments constitutes acceptance of the revised Terms and Conditions.
